These Terms & Conditions ("Terms") govern access to and use of the Seeda mobile application, website, digital marketplace, software, and related services (collectively, the "Platform").
By accessing, registering for, or using Seeda, you agree to these Terms and any additional terms or policies applicable to the services you use.
1. About Seeda
Seeda is a digital commerce platform that connects customers with independent Shops, including restaurants, cafés, supermarkets, pharmacies, retailers, service providers, and other eligible businesses.
Seeda provides the technology and marketplace infrastructure that enables Shops to establish their digital presence, display products or services, receive customer orders, manage transactions, and manage fulfilment and delivery.
Unless expressly stated otherwise, Seeda is not the seller of products or services offered by Shops.
The relevant Shop remains the independent seller of its products or services.
2. User Accounts
Users may be required to create an account to access certain Seeda services.
Users agree to:
Provide accurate and current information;
Keep account information updated;
Maintain the confidentiality of login credentials;
Not provide false or misleading information;
Not impersonate another person or business; and
Notify Seeda of suspected unauthorised account access.
Users are responsible for activity conducted through their accounts, subject to applicable law.
3. Shop Registration and Eligibility
Businesses wishing to sell through Seeda must apply for registration.
Seeda may review information relating to the business before approving a Shop.
This may include:
Trade licence information;
Business registration information;
Business location;
Owner or authorised representative information;
Contact details;
Regulatory licences or permits;
Product or service categories;
Payment or settlement information; and
Other information reasonably necessary for verification, security, or compliance.
Seeda reserves the right to approve or reject applications based on eligibility requirements, Platform policies, applicable law, security considerations, or other legitimate business requirements.
Approval of a Shop does not constitute a certification, warranty, guarantee, or endorsement by Seeda of every product, service, statement, or activity of that Shop.
4. Independent Sellers
Each Shop remains an independent business and the seller of the products or services offered through its Seeda storefront.
Shops are responsible for, as applicable:
Product and service information;
Prices;
Availability and inventory;
Product authenticity;
Product quality and safety;
Required licences and approvals;
Compliance with applicable laws;
Product preparation;
Packaging;
Order acceptance;
Order fulfilment;
Customer service;
Warranties;
Returns and replacements;
Refund obligations; and
Delivery where delivery is provided by the Shop.
Nothing in these Terms creates an employment, partnership, joint venture, franchise, or similar relationship between Seeda and a Shop.
5. Product and Service Listings
Shops are responsible for ensuring that information displayed through their storefronts is accurate, current, lawful, and not misleading.
Shops must not knowingly list prohibited, illegal, counterfeit, unsafe, or unauthorised products or services.
Seeda may review, restrict, suspend, or remove listings that appear to violate applicable law, these Terms, or Platform policies.
6. Customer Orders
Customers may use Seeda to discover Shops and place orders for products or services offered by those Shops.
Unless expressly stated otherwise, when a customer purchases a Shop's product or service, the sale is between the customer and the relevant Shop.
Seeda provides the technology used to facilitate that transaction.
Orders may be subject to:
Shop acceptance;
Product availability;
Payment confirmation;
Delivery availability;
Verification requirements; and
Other applicable conditions displayed during ordering.
7. Prices
Shops are responsible for setting and maintaining the prices of their products and services.
The customer will be shown applicable prices and other relevant charges before confirming an order, subject to the functionality of the Platform.
Where Seeda provides a specific price guarantee, promotion, discount, or similar programme, additional terms may apply.
8. Seeda's Current No-Commission Model
Under Seeda's current business model, Seeda does not charge Shops a percentage commission on their product sales through the Platform.
This allows Shops to establish and grow their digital presence and receive online orders without sharing a percentage of each sale with Seeda under the current model.
Seeda may charge Shops subscription fees or other fees for access to particular Platform services or features in the near future.
Seeda may introduce, modify, or offer different pricing models or other commercial arrangements in the future.
Any material changes applicable to an existing Shop will be communicated in advance where required and will be governed by the applicable Shop agreement, subscription terms, and applicable law.
Continued use following any applicable notice or acceptance process will be governed by the updated commercial terms.
9. Payments
Seeda may support different payment methods, which may include:
Online card payments;
Cash;
Card on delivery or collection; and
Other payment methods introduced in the future.
Available payment options may vary depending on the Shop, order, location, or service.
Online payments may be processed through authorised third-party payment providers.
Seeda may facilitate collection, processing, reconciliation, settlement, or refund of payments where applicable.
10. Delivery
During Seeda's current operating phase, unless expressly stated otherwise during checkout, delivery is arranged and fulfilled by the relevant Shop, its authorised delivery personnel, or its chosen delivery provider.
Where a Shop provides delivery, that Shop is responsible for matters including:
Delivery personnel;
Delivery coverage;
Delivery charges;
Delivery estimates;
Order handling;
Customer delivery communication; and
Completion of delivery.
Seeda may provide technology that facilitates order management, delivery information, location information, or tracking.
Delivery estimates displayed through Seeda are estimates and may be affected by circumstances outside Seeda's reasonable control.
11. Delivery by Seeda Future Service
Seeda is working toward introducing Delivery by Seeda and may introduce its own or partnered logistics services in the future.
When Delivery by Seeda becomes available, the Platform will identify when delivery is being provided or arranged by Seeda or an authorised Seeda logistics partner.
Separate or additional delivery terms may apply.
Until expressly stated otherwise for a particular order, delivery remains the responsibility of the relevant Shop.
12. Order Cancellation, Returns and Refunds
Order cancellations, returns, replacements, and refunds are subject to:
Applicable UAE law;
The nature of the product or service;
The circumstances of the order;
Seeda's applicable Refund Policy; and
Any lawful Shop-specific conditions disclosed to the customer.
Because Shops remain the sellers of their products and services, the relevant Shop is generally responsible for product-related issues such as:
Incorrect items;
Missing items;
Defective products;
Damaged products;
Product quality;
Product authenticity;
Applicable warranties;
Eligible returns; and
Eligible replacements.
Seeda may facilitate communication, complaints, payment reversals, or refunds between customers and Shops where appropriate.
Nothing in these Terms limits any mandatory consumer rights available under applicable law.
13. Customer Responsibilities
Customers agree to:
Provide accurate account and delivery information;
Review order information before confirmation;
Provide accurate contact details;
Pay applicable charges;
Be reasonably available to receive deliveries;
Treat Shops and delivery personnel appropriately;
Use Seeda only for lawful purposes; and
Not misuse payment, refund, promotional, review, or Platform systems.
14. Prohibited Activities
Users and Shops must not use Seeda to:
Conduct unlawful activity;
Commit or facilitate fraud;
Sell prohibited products or services;
Sell counterfeit or unlawfully obtained products;
Misrepresent products, prices, or businesses;
Manipulate orders, ratings, reviews, or promotions;
Infringe intellectual property rights;
Attempt unauthorised access to Seeda systems;
Introduce malicious software;
Scrape or misuse Platform information contrary to applicable law or authorisation;
Misuse customer information; or
Interfere with the operation or security of the Platform.
15. Shop Suspension or Removal
Seeda may restrict, suspend, or terminate a Shop's access where reasonably necessary due to circumstances including:
Material violation of these Terms;
Invalid or expired licensing;
Suspected fraud;
Illegal or prohibited products;
Material safety concerns;
Repeated serious customer complaints;
Non-payment of applicable Seeda fees;
Misuse of customer information;
Security risks; or
Legal or regulatory requirements.
Seeda may request additional information or corrective action before restoring access.
16. Intellectual Property
The Seeda name, branding, logos, software, interface, technology, designs, and Seeda-owned content are protected by applicable intellectual property laws.
Users and Shops may not reproduce, distribute, modify, reverse engineer, or commercially exploit Seeda intellectual property except where authorised by Seeda or permitted by applicable law.
Shops retain rights to their own names, trademarks, product information, images, and other content.
By providing content to Seeda, Shops grant Seeda the rights reasonably necessary to host, display, process, distribute, and promote such content in connection with operating and marketing the Platform, subject to applicable agreements.
17. Ratings and Reviews
Seeda may allow customers to submit ratings, reviews, photographs, comments, or other feedback.
Such content must be genuine, lawful, and must not contain fraudulent, abusive, defamatory, threatening, infringing, or otherwise prohibited material.
Seeda may moderate, restrict, or remove content in accordance with applicable law and Platform policies.
18. Platform Availability
Seeda aims to maintain reliable Platform availability but cannot guarantee that the Platform will always operate without interruption or error.
Temporary interruptions may occur due to maintenance, upgrades, security requirements, technical failures, third-party services, internet connectivity, or circumstances outside Seeda's reasonable control.
19. Responsibility and Liability
Seeda provides the digital infrastructure connecting customers and independent Shops.
Each Shop remains responsible for the products and services it sells, including their accuracy, legality, authenticity, quality, safety, preparation, packaging, fulfilment, and applicable warranties.
Where delivery is provided by a Shop, the Shop remains responsible for its delivery operations.
To the maximum extent permitted by applicable law, Seeda will not be responsible for losses resulting solely from the acts or omissions of an independent Shop or its delivery provider where Seeda did not cause or contribute to those losses.
Seeda remains responsible for its own obligations to the extent required under applicable law.
Nothing in these Terms excludes, limits, or restricts rights or liabilities that cannot legally be excluded or limited under applicable UAE law.
20. Privacy
Use of Seeda is also governed by the Seeda Privacy Policy, which explains how personal information is collected, used, shared, and protected.
21. Changes to Seeda's Services
Seeda may introduce, remove, modify, or improve Platform features and services.
This may include new:
Shop tools;
Customer features;
Subscription plans;
Payment services;
Commercial models;
Delivery services; and
Logistics services.
Where a change materially affects existing contractual or payment obligations, Seeda will provide appropriate notice or obtain acceptance where required by applicable law.
22. Changes to These Terms
Seeda may update these Terms from time to time to reflect changes to its services, business model, security requirements, operations, or applicable law.
The updated Terms will be made available through the Platform.
Where required, users will receive notice of material changes.
23. Governing Law
These Terms are governed by the applicable laws of the United Arab Emirates.
Any dispute will be handled by the competent courts of the United Arab Emirates, subject to applicable mandatory legal requirements.
